The Consumer and the Professional are hereinafter jointly referred to as the “Customers”, and the Customers and BERENGERE LEROY are hereinafter jointly referred to as the “Parties”.
Article 1: Purpose
These terms and conditions of sale define the contractual relationship between the Parties and the conditions applicable to any purchase made remotely and electronically through the Site, whether the Customer is a Professional or a Consumer.
The purchase of goods or services through the Site implies the Customers’ unreserved acceptance of these terms and conditions of sale.
These terms and conditions of sale shall prevail over any other general or specific terms and conditions not expressly approved by the Parties.
They are available on the Site and are sent to Customers with the order confirmation.
BERENGERE LEROY reserves the right to amend its terms and conditions of sale at any time and without notice, in particular to take account of any changes in legislation, case law and/or technology. In such cases, the new terms and conditions of sale will be provided to the Customer when placing any subsequent order and made available on the Site.
The applicable terms and conditions of sale shall be those in force on the date the purchaser places the order, and provided to the Customer.
BERENGERE LEROY reserves the right to refuse any order if the Customers fail to comply with the terms and conditions of sale.
Article 2: Characteristics of the goods and services offered
The products and services sold by BERENGERE LEROY comply with the applicable French regulations.
Each product and service is presented on the Site and accompanied by a description.
They are marketed subject to availability of stock.
Despite all the precautions taken by BERENGERE LEROY, a product or service ordered may be unavailable. In such circumstances, BERENGERE LEROY undertakes to inform the Customer as soon as possible and to refund all sums paid within thirty (30) calendar days of payment for the order, using the same payment method as that previously used by the Customer for the original order.
BERENGERE LEROY may offer the Customer a product or service of equivalent quality and price to the unavailable product or service ordered, which the Customer is free to accept or refuse. If the Customer accepts the substitute Product, the return costs incurred if the Customer exercises the right of withdrawal provided for in Article 11 of the Contract shall be borne exclusively by BERENGERE LEROY.
If stocks are exhausted, BERENGERE LEROY will endeavour to indicate this on the Site and to prevent orders for the Product concerned.
Article 3: Orders
Having reviewed the products and services offered by BERENGERE LEROY on the Site and, where applicable, contacted BERENGERE LEROY, the Customer is invited to add one or more products or services to their virtual basket.
The Customer therefore declares that, before placing the order, they have obtained from BERENGERE LEROY all information about the products and services, as well as the delivery arrangements.
A Customer wishing to purchase a product or service must:
- complete the identification form, providing all the requested contact details, or provide their customer number if they have one
- complete the online order form, providing all the references for the products or services selected
- validate their order after checking it
- confirm their order and payment
- make payment in accordance with the specified conditions
BERENGERE LEROY will validate the order only after unreserved acceptance of these terms and conditions of sale, verification and confirmation that payment is valid, and sending the Customer confirmation that the order has been accepted.
In any event, confirmation of the order by the Customer constitutes acceptance of these terms and conditions of sale, acknowledgement of having full knowledge of them and waiver of the right to rely on their own purchase terms or any other terms.
Every order entails an obligation for the Customer to pay in advance.
BERENGERE LEROY will send the Customer confirmation of acceptance of the order by email, including:
- A summary of the products and services ordered and their references;
- The prices, including VAT, of the products and services ordered;
- The quantities of products and services ordered;
- The date of the order;
- The delivery costs for the products;
- The estimated delivery time for the products or performance time for the services;
- The payment method chosen by the Customer;
BERENGERE LEROY will also send the Customer an invoice by email to the address provided when placing the order. Customers are advised to save or print their invoice and keep it.
The Customer must check the contents of the order acceptance confirmation as soon as possible and immediately notify BERENGERE LEROY of any errors or omissions. If the Customer does not respond to the order acceptance confirmation, this shall constitute their express acceptance of it and its terms.
If the Customer does not receive an email following their Order, they are invited to contact BERENGERE LEROY by email at [email protected].
The Customer undertakes to provide accurate information.
The provision of false information prevents BERENGERE LEROY from fulfilling its obligations.
BERENGERE LEROY cannot under any circumstances be held liable for an input error attributable to the Customer that prevents delivery of the products or performance of the services.
Entering a bank card number or other banking information online, and validating the order and its payment, shall constitute proof of the entire order and render the sums due under the order payable.
BERENGERE LEROY reserves the right to refuse any order in the event of:
- An existing or previous dispute with the Customer;
- Total or partial non-payment by the Customer for a previous order;
- Refusal of payment authorisation by banking institutions or payment service providers;
- An unusually large quantity of products or services for the Consumer.
BERENGERE LEROY undertakes to fulfil confirmed orders, subject to product availability.
Article 4: Prices
The prices of the products and services shown on the Site are in euros and include VAT, taking account of the French VAT applicable on the date of the order, excluding delivery and transport costs, which are notified to the Customer when the order is placed.
Any change in the VAT rate may be reflected in the price of the products or services.
BERENGERE LEROY reserves the right to change its prices at any time, provided that the price shown on the Site on the date of the order shall be the only price applicable to the Customer.
BERENGERE LEROY will not refund any difference between the price when the order was placed and a subsequent price reduction.
The same applies to any difference in price between products and services presented in catalogues – or other media – and those presented on the Site.
Any additional shipping costs resulting from an incorrect delivery address or recipient shall be borne by the Customer.
If an abnormally low price is shown on the Site due to a technical or human error, BERENGERE LEROY reserves the right to ask the Customer to pay the outstanding balance or allow them to cancel their order and refund all sums already paid.
Article 5: Customs duties, import charges and taxes
For products shipped to the French overseas departments and territories and countries outside the European Union, customs duties, charges or local import taxes may be levied by the tax or customs authorities.
In all cases, these must be paid exclusively by the Customer, directly to the carrier. This also applies to any order destined for the United Kingdom.
Article 6: Payment
Payment is due when the order is placed, exclusively by bank card (CB, Visa and MasterCard).
Depending on the order date, a request to debit the bank account will be sent to the Client’s bank within three (3) days. The order shall be deemed final once approved by the payment centre.
In any event, providing the bank card number online and validating the order and its payment shall constitute proof of the order in its entirety and render the sums incurred by placing the order payable.
Payments will be made through the secure CM-CIC p@iement system, which uses the SSL protocol (Secure Socket Layer) so that the information transmitted is encrypted by software and no third party can access it while it is being transmitted over the network.
If the buyer wishes to retain details of the banking transaction relating to the payment, they should save and print their payment receipt.
In the event of fraudulent use of their bank card or banking information, the Client is invited, as soon as they become aware of such use, to contact BERENGERE LEROY’s customer service by email at [email protected].
Article 7: Delivery
Delivery costs are specified on the Website and quoted in euros inclusive of all taxes, in particular when the Client validates the virtual basket.
They are payable by the Client, who must accept them when validating the order.
These costs may vary according to the weight, volume and nature of the order, as well as the carrier chosen, the delivery method and the delivery location.
BERENGERE LEROY will notify the Client of every order dispatch by email, which may allow the shipment to be tracked. Delivery shall be deemed to have taken place when the Client or a third party designated by them, other than the carrier offered by BERENGERE LEROY, takes physical possession of the Product.
Partial deliveries are permitted and are treated as individual deliveries. The Client will be informed by email. Any additional costs arising from splitting a delivery will not be charged to the client.
The delivery time for mainland France is shown on each product or service page on the Website.
Allow an additional four (4) to five (5) days for other European countries and approximately ten (10) days for the French overseas departments and territories and the rest of the world. These times apply to capital cities. For more remote locations, it is advisable to allow a few extra days.
As these delivery times are indicative, they may be extended to a maximum of thirty (30) days from confirmation of the order by BERENGERE LEROY.
If delivery is delayed by more than thirty (30) days, and except in cases of force majeure, the Client may cancel their order by registered letter with acknowledgement of receipt or by written notice on another durable medium addressed to BERENGERE LEROY, if, after having instructed BERENGERE LEROY to make the delivery or provide the service within a reasonable additional period using the same methods, BERENGERE LEROY has failed to do so within that period. Under no circumstances shall any delay entitle the buyer to claim damages.
In such an event, the order shall be deemed cancelled when BERENGERE LEROY receives the letter or written notice informing it of the cancellation, unless BERENGERE LEROY has fulfilled its obligations in the meantime.
(If an order is cancelled in the manner set out above, BERENGERE LEROY will refund the Client all sums paid, no later than fourteen (14) days after the date of cancellation.
BERENGERE LEROY will only fulfil orders and provide services if there are no outstanding amounts due under other contracts. Payments will first be deducted from any outstanding debts, interest and costs, in order of due date.
Article 8: Receipt
Deliveries are made to the address indicated by the Client on the order form and require a signature, which shall serve as proof that the Client has received the products.
For Consumers, the transfer of risk and responsibility relating to the products takes place upon receipt of the Products by the Consumer,
For Professionals, the transfer of risk and responsibility relating to the products takes place Ex Works / ex factory (EXW).
In the event of damage during transport, the Client must submit a reasoned complaint to the carrier by registered letter with acknowledgement of receipt within three (3) days of delivery. The Client must also inform BERENGERE LEROY and provide all relevant supporting evidence.
Any order received and signed for by the Client shall be deemed compliant, complete and in perfect condition at the time of delivery in the absence of such notification.
It is expressly stated that the Professional must carefully check that the products comply and are free from defects upon delivery, since they are not entitled to any of the warranties set out in Article 10 hereof.
Furthermore, before placing an order, the Client must ensure that the product ordered can be delivered to their home without difficulty, particularly in view of its weight and volume. In particular, the Client must ensure that the product can pass through doors and along any corridors.
Delivery through a window is not provided. If the product ordered will not fit through the door, the cost of any additional equipment or repeat delivery shall be borne by the client.
Delivery of furniture (seats, benches, sofas and similar items) to upper floors where mechanical lifting equipment is required shall be the buyer’s sole responsibility.
BERENGERE LEROY shall not be liable if the product ordered cannot be delivered because of access conditions at the Client’s home.
Article 9: Complaints
The seller is responsible for informing the client of the essential characteristics of the products.
The photographs on the Website are as faithful as possible, but cannot always ensure a perfect match with the exact shade of the product offered. Please note that computer screens may display colours very differently.
If the client wishes to check the precise shade, they are advised to order a sample under the conditions set out in Article 10, or to choose another product if a sample is unavailable.
The constraints of artisan production mean that colour variations may occur between different dye batches or production batches.
Differences in quality, colour, width, weight, filling, pattern or irregularities that are customary in the trade, negligible or unavoidable in artisan production (10% tolerance) in accordance with industry practice shall not be considered a material defect, hidden defect or non-conformity.
Depending on the ambient humidity and in the event of cleaning, variations in width and length, particularly for curtains, are considered normal.
Furthermore, no complaint may be made concerning a difference in colour shade between different production batches or dye lots if the Client has placed several separate orders.
Article 10: Samples
The website offers samples of most of its fabrics for purchase at a price below the actual value of the service.
The number of samples is limited to ten (10) per order.
The seller reserves the right to deem any order for more than twelve (12) samples over a period of thirty (30) consecutive days abusive and to refuse to fulfil it. The abusive order will be cancelled and any amount already paid will be refunded to the client.
Article 11: Right of withdrawal
The Consumer has fourteen (14) days from receipt of the products to exercise their statutory right of withdrawal, without having to give a reason.
For an order comprising several products delivered separately, or a product delivered in several batches or parts, this period expires on the day the last product / batch / part is taken into possession.
For an order for a service, the period begins on acceptance of the offer.
The day on which the order is concluded or the day on which the Product is received is not counted towards this period. If the period expires on a Saturday, Sunday, public holiday or non-working day, it is extended until the next working day.
The right of return does not apply to the following products or services:
- services whose performance has begun with your authorisation (products made to order)
- products made to the Consumer’s specifications or clearly personalised (including, without limitation, furniture personalised with a fabric of your choice, rugs made to your measurements, curtains made to your measurements, fabrics cut to your measurements, curtain poles cut to your measurements, sofas that are limited editions, and sofas offered as part of special offers).
- Where the products cannot pass through the access routes into the client’s home (stairwell, building entrance, front door, etc.), particularly in the case of sofas
To exercise their right of withdrawal, the Consumer is invited, before the expiry of the aforementioned period, to notify BERENGERE LEROY of their decision to withdraw by means of an unambiguous statement, using, where applicable, the standard form provided at the end of the Contract.
BERENGERE LEROY will send the Consumer a return form enabling the relevant Products to be returned to the following address: 3 avenue Albert Schweitzer – 13210 ST REMY DE PROVENCE.
The Consumer must return the Products without undue delay and no later than fourteen (14) days after notifying BERENGERE LEROY of their decision to withdraw. This deadline shall be deemed to have been met if the goods are returned before it expires. The costs and risks associated with the return shall be borne solely by the Consumer.
Products must be returned in their original packaging, in perfect resale condition, together with all accessories, the purchase invoice and, where applicable, the return form issued by BERENGERE LEROY.
In the event of withdrawal, BERENGERE LEROY will refund all payments received, including delivery costs, without undue delay and no later than fourteen (14) days from the day on which BERENGERE LEROY was informed of the decision to withdraw.
The Consumer shall bear the cost of returning the Products (for sofas returned from France, these costs are set at €132 per metre of sofa plus €42 for each additional floor if the sofa must be collected from a floor above the 3rd floor). For any order shipped for export (outside France), the client must pay the actual cost of returning the goods.
BERENGERE LEROY reserves the right to defer the refund until it has received the product concerned or until the Consumer has provided proof of dispatch of that product, whichever occurs first.
The same method of payment as that used for the order will be used, unless the Consumer expressly agrees to a different method.
The Consumer exercising the right of withdrawal may be held liable for any depreciation in the relevant goods resulting from handling other than that necessary to establish their nature, characteristics and proper functioning, particularly if the products have been cut or made up by the purchaser, even in part.
Finally, by way of exception, provided it can justify this and has given prior notice, Bérengère Leroy reserves the right to charge the Consumer compensation proportionate to the management costs incurred in dealing with an abusive or bad-faith exercise of the right of withdrawal, after having given the Consumer formal notice to submit, within eight (8) days, observations on the allegation made against them, where the latter fails to provide a satisfactory response.
Article 12: Statutory guarantees
This article applies exclusively to the Consumer. The Professional may not under any circumstances invoke these guarantees, since they have the technical expertise required to detect defects affecting products upon delivery, or services upon performance.
The products are subject to the statutory guarantee of conformity provided for in Article L217-4 of the French Consumer Code, which states that « The seller shall deliver goods that conform to the contract and shall be liable for any lack of conformity existing at the time of delivery. The seller shall also be liable for any lack of conformity resulting from the packaging, assembly instructions or installation where the latter was the seller’s responsibility under the contract or was carried out under the seller’s responsibility. »
Any action arising from a lack of conformity must be brought within two (2) years of delivery of the product. Any lack of conformity that becomes apparent within twenty-four (24) months of delivery of the product is presumed to have existed at the time of delivery, unless proven otherwise.
The Consumer may choose between having the product repaired or replaced. However, Bérengère Leroy may refuse to follow the Consumer’s choice if it entails a manifestly disproportionate cost compared with the other option, taking into account the value of the product or the significance of the defect. In that case, it must, unless this is impossible, proceed with the option not chosen by the Consumer.
If repair and replacement of the product are impossible, the Consumer may return the product and receive a refund, or keep the goods and receive a partial refund.
The sale may not, however, be rescinded if the lack of conformity is minor.
The products sold are also subject to the guarantee against hidden defects provided for in Article 1641 of the French Civil Code, which states that « The seller is liable under the guarantee for hidden defects in the thing sold that render it unfit for the purpose for which it is intended, or that so diminish its use that the buyer would not have purchased it, or would only have paid a lower price for it, had they known of them ».
Any action arising from hidden defects must be brought within two (2) years of discovery of the defect.
The Consumer may choose to return the product and receive a refund, or to keep the product and receive a partial refund, as may be determined by experts where applicable.
In the event of a lack of conformity or a hidden defect in the product, the Consumer must send their complaint to Bérengère Leroy.
All complaints concerning a lack of conformity or claims under the guarantee against hidden defects must be sent by post or e-mail to Bérengère Leroy. No parcel may be returned before your complaint has been registered and return instructions have been sent.
Where possible, products should be returned in their original packaging to the following address: 3 avenue Albert Schweitzer – 13210 ST REMY DE PROVENCE.
Depending on the supporting evidence provided by the Consumer to Bérengère Leroy in connection with a claim under either of these guarantees, Bérengère Leroy may issue a prepaid label enabling the Consumer to return the Product without having to bear the cost.
These guarantees may be exercised at no cost to the Consumer, provided that the Consumer is entitled to claim under them.
If Bérengère Leroy finds that the statutory guarantee of conformity or the guarantee against hidden defects has been used abusively or in bad faith, Bérengère Leroy reserves the right to give the Consumer formal notice to submit, within eight (8) days, observations on the allegation made against them.
If no response is received, or if the response is unsatisfactory, Bérengère Leroy reserves the right to charge the Consumer compensation proportionate to the management costs incurred in dealing with an abusive or bad-faith request.
Article 13: Liability
In the online sales process on the Website, Bérengère Leroy is bound only by an obligation of means; it shall not be liable for any damage resulting from the use of the internet, such as data loss, intrusion, viruses, service interruption or other unintended issues, nor, more generally, for any indirect loss caused by Bérengère Leroy or by the products or services, or for any loss of any kind resulting from the unavailability of the Website.
Bérengère Leroy may be held liable only for direct damage that is proven and attributable to a fault on the part of Bérengère Leroy.
With regard to the contractual relationship with the Professional, should Bérengère Leroy incur liability for any reason whatsoever, it is expressly agreed that the amount of damages and any compensation payable by Bérengère Leroy to the Professional, for all causes combined, shall be strictly limited and shall not exceed the sums actually paid by the Professional in consideration for the supply of the product or service directly giving rise to the damage.
Article 14: Force majeure
Bérengère Leroy shall be exempt from all liability for any failure to fulfil its contractual obligations in the event of force majeure or unforeseeable circumstances. Force majeure means any event occurring independently of Bérengère Leroy and the Client that prevents the contractual obligations from being performed in whole or in part. In addition to events ordinarily recognised as force majeure or unforeseeable circumstances by case law, these include total or partial strikes, internal or external to Bérengère Leroy, lock-outs, epidemics, earthquakes, fires, storms, floods, water damage, blockages affecting transport or supply, government or legal restrictions, and interruptions to electronic communications.
Article 15: Intellectual property
Bérengère Leroy is the exclusive owner of the intellectual property rights—registered by the specialist intellectual property law firm Cabinet d’avocats Bouchara: www.cabinetbouchara.com—in respect of the products and services offered on the Website or in physical boutiques; the trade marks, service marks, shape marks, designs and copyright associated with the products and services; the Website and all its elements, including its visual and graphic identity, design, ergonomics and features; and the software, texts, moving or still images, sounds, know-how, drawings, graphics, and names, abbreviations, logos or other signs that may be used or created by Bérengère Leroy, unless otherwise stated on the Website.
It is forbidden to use the trade marks, images, designs or any other element in which Bérengère Leroy holds intellectual property rights.
Furthermore, the intellectual property rights in the documents contained on the Website and each of the elements created for it are the exclusive property of Bérengère Leroy, which grants no licence or other right beyond the right to consult the Website. The reproduction of any page or content from the Website requires the prior written authorisation of Bérengère Leroy, except in the case of private copying.
The reproduction of any documents published on the Website is authorised solely for information purposes and for personal, private use; any reproduction or use of copies made for other purposes is expressly prohibited.
It is also forbidden to copy, modify, create a derivative work, reverse engineer or decompile, or otherwise attempt to discover the source code (except as provided by law), sell, assign, sublicense or transfer in any way any right relating to the Website.
It is also forbidden to modify the Website or use modified versions of it, including, without limitation, for the purpose of obtaining unauthorised access to the service, or to access the Website by any means other than the interface provided by Bérengère Leroy for this purpose.
The Website and any software necessarily used in connection with it may contain confidential information protected by applicable intellectual property law or any other law.
The Client expressly acknowledges that any breach of this clause may cause financial loss to Bérengère Leroy, for which it may seek compensation.
Article 16: Personal data protection
Performance of these terms and conditions, and in particular the management of orders on the Website and delivery of products, requires Bérengère Leroy to process personal data relating to the Client.
The data are processed by Bérengère Leroy in accordance with applicable regulations and Bérengère Leroy’s Privacy Policy, available at the following address: https://berengereleroy.fr/confidentialite/
Article 17: Archiving – Evidence
Contracts concluded on the Website (order details and the General Terms and Conditions of Sale in force on the date of your order) are archived for a period of ten (10) years.
The Client may access archived contracts by requesting them from Bérengère Leroy by e-mail or post.
Bérengère Leroy’s computerised records constitute a reliable and durable medium providing a faithful copy in accordance with the provisions of Article 1348 of the French Civil Code. The parties shall consider them as evidence of communications, the General Terms and Conditions of Sale, orders, payments and transactions between them.
Article 18: Retention of title clause
Bérengère Leroy retains title to the products until their price, including principal and interest, has been paid in full, together with all amounts already due or to become due from the Client to Bérengère Leroy.
If payment is not made by the agreed due date, Bérengère Leroy may repossess the goods after formal demand and the expiry of an appropriate notice period, and the sale shall be rescinded as of right if Bérengère Leroy so wishes.
Until the price has been paid in full, the Client shall therefore not grant a security interest or pledge over the products subject to retention of title, or use them as security, and must keep the products supplied by Bérengère Leroy separately identifiable.
These conditions do not prevent the transfer
- To the Consumer, upon delivery of the Product, of the risks of loss of and damage to Products subject to retention of title, and of liability for any damage or loss they may cause
- To the Professional, upon the Products leaving BERENGERE LEROY’s factory, the risks of loss and damage to the Products subject to retention of title, as well as liability for any damage or harm they may cause.
Article 19: Entire Agreement
The Parties acknowledge that these terms and conditions of sale constitute the entire agreement between them and supersede any previous offer, provision or agreement, whether written or oral.
The headings of the Articles in these terms and conditions of sale have been included for the Client’s convenience and are in no way intended to restrict or amend any of the terms or provisions herein.
Article 20: Severability
If any provision of these terms and conditions of sale is found to be invalid under a rule of law in force or a final court decision, it shall be deemed unwritten, without thereby invalidating these terms and conditions of sale or affecting the validity of any of its other provisions.
Article 21: Applicable Law and Jurisdiction
These terms and conditions are governed in their entirety by French law.
The language of this contract is French.
The Professional expressly excludes the provisions of the Vienna Convention on the International Sale of Goods.
In the event of a dispute relating to an order, the Client must first contact BERENGERE LEROY in order to seek an amicable solution, by email at [email protected] or by post at 3 avenue Albert Schweitzer – 13210 ST REMY DE PROVENCE – FRANCE.
In any event, the Parties undertake to co-operate in complete good faith, particularly in seeking an amicable resolution to their dispute.
If the complaint made to BERENGERE LEROY is unsuccessful, or if no response is received within two (2) months, the Consumer may refer the dispute with BERENGERE LEROY to BERENGERE LEROY’s consumer mediator (XXX), who will seek, in complete independence and impartiality, to bring the Parties together with a view to reaching a solution.
The Consumer may use the complaint form on the mediator’s website (XXX) to submit a request for mediation.
The Consumer may also, if they wish and independently of any other procedure for resolving their dispute with BERENGERE LEROY, use the European Union’s online dispute resolution platform: https://ec.europa.eu/consumers/odr/main/index.cfm?event=main.home.chooseLanguage.
The Parties remain free to accept or refuse to resolve a dispute through mediation, and to accept or refuse the solution proposed by the mediator.
It is expressly noted that requests for an amicable settlement do not suspend the time limits for bringing legal proceedings.
If no amicable agreement is reached, the court with jurisdiction to resolve the dispute between BERENGERE LEROY and the Consumer shall be the court for the place where the defendant resides or the place where the Products are effectively delivered / the services are performed.
The court with jurisdiction to resolve the dispute between BERENGERE LEROY and the Professional shall be the Commercial Court of Tarascon.
